Terms of Service

1. Acceptance of Terms

By accessing or using Vaime ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. AI Agent Liability & User Responsibility

Vaime provides the infrastructure for agentic AI workflows. You acknowledge that AI agents operate with a degree of autonomy and can produce unpredictable results, including but not limited to hallucinations, unauthorized API calls, or unintended actions. You are solely responsible for the configuration, constraints, safeguards, and deployment of your AI agents.

Vaime is NOT liable for any actions taken by your AI agents, including but not limited to: unauthorized API calls, accidental data deletion, financial transactions initiated by agents, or communications sent to third parties. It is your responsibility to implement safeguards, rate limits, and human-in-the-loop approvals for critical actions executed by your agents. Vaime acts as an infrastructure provider and is not the operator of your agents.

3. Use of Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable law or regulation.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscriptions & Billing

Subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours before the renewal date. All recurring charges are processed via Flitt. You authorize Vaime and Flitt to charge your designated payment method for all fees incurred.

You are responsible for paying all applicable taxes associated with your subscription. If a payment fails, we may suspend your access to the Service until the outstanding balance is settled.

5. Credit System & Refund Policy

Vaime operates on a prepaid credit system used to pay for AI agent compute, token generation, and third-party API integrations. We offer refunds strictly for unused credits. A credit is considered "unused" only if it has not been allocated to, or consumed by, any AI agent workflow. Credits consumed by AI agents, credits used to pay for third-party API fees, and credits that have expired due to account inactivity are strictly non-refundable.

Initiating a chargeback with your bank or Flitt without first contacting Vaime support to request a legitimate refund will result in immediate termination of your account and potential legal action for fraud.

6. Intellectual Property

The platform, underlying code, and foundational models remain the exclusive property of Vaime and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.

You retain all ownership rights to the custom workflows, prompts, and data outputs generated by your AI agents.

7. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE SERVICE'S RELIABILITY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAIME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE OR YOUR AI AGENTS.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including but not limited to sections regarding AI agent liability, credit refund policy, intellectual property, and limitation of liability.
